General Terms and Conditions

1. General Provisions

These General Terms and Conditions govern the engagement of IT consulting and artificial intelligence services offered by ZC TECH PARTNERS S.L. through its website or by direct contact.

Engaging our services implies the express acceptance of these General Terms and Conditions by the client.

2. Scope of Services

ZC TECH PARTNERS offers professional services in:

• Strategic Artificial Intelligence consulting
• Custom AI solution development
• Intelligent process automation
• AI system integration and optimization
• AI technology training and enablement
• Advisory on obtaining European grants for technology projects
• AI Act (EU Artificial Intelligence Regulation) compliance advisory

3. Engagement Process

The service engagement process follows these phases:

1. Initial client request via the web form or direct contact
2. Preliminary needs analysis and first consultation (free of charge)
3. Preparation of a customized technical and commercial proposal
4. Client acceptance of the proposal
5. Signing of the specific service agreement
6. Commencement of service delivery

4. Pricing and Payment Terms

Our service prices are set on a customized basis depending on the scope, complexity and duration of each project. All prices are quoted in euros (€) and do not include VAT, which will be applied according to current regulations.

Payment terms will be specified in each commercial proposal and may include:

• Single payment upon project completion
• Milestone-based installment payments
• Monthly fees for recurring services

5. Client Obligations

The client agrees to:

• Provide truthful and complete information about their needs
• Facilitate access to systems, data and personnel necessary for service delivery
• Make payments within the agreed deadlines
• Designate a responsible project contact person
• Review and approve deliverables within established timelines

6. Execution Timelines

Execution timelines will be established in each commercial proposal and specific contract. ZC TECH PARTNERS commits to meeting agreed deadlines, provided the client fulfills their obligations and no extraordinary circumstances beyond our control arise.

7. Intellectual Property

Developments, solutions and deliverables created specifically for the client shall become their property once fully paid. However, ZC TECH PARTNERS retains ownership of:

• Proprietary frameworks and tools (AuraSense, GenAI Ops, etc.)
• Pre-existing methodologies and knowledge
• General-purpose reusable components

8. Confidentiality

Both parties commit to maintaining the confidentiality of all information exchanged during service delivery. This commitment shall remain in effect even after the contractual relationship has ended.

9. Modifications and Extensions

Any modification to the initially agreed project scope must be approved by both parties and may entail adjustments to the price and delivery timelines.

10. Contract Termination

Either party may terminate the contract in the event of a material breach by the other party, subject to prior written notice and the granting of a reasonable period to remedy the breach.

11. Limitation of Liability

ZC TECH PARTNERS shall not be liable for indirect damages, lost profits or business losses arising from service delivery, except in cases of willful misconduct or gross negligence.

12. Data Protection

Personal data processing shall be carried out in accordance with our Privacy Policy and in compliance with the GDPR and LOPDGDD.

13. Applicable Law and Jurisdiction

These General Terms and Conditions are governed by Spanish law. For any disputes, the parties submit to the Courts and Tribunals of Madrid, expressly waiving any other jurisdiction that may apply.
